• “Client” means any person or entity that uses Erganit's services.
• “Services” means any services provided by Erganit to the Client.

2. Confidentiality

Erganit acknowledges that it may have access to confidential information of the Client. Erganit agrees to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the Client.

3. Intellectual Property

All intellectual property rights in any materials provided by Erganit to the Client shall remain the property of Erganit. The Client shall not use any such materials for any purpose other than the provision of the Services.

4. Payment Terms

Invoices must be settled within 30 days of date of invoice, in adherence with the UK Governments “Prompt Payment Code” – further details available here.

5. Limitation of Liability

Erganit shall not be liable for any loss or damage suffered by the Client arising out of or in connection with the provision of the Services, whether direct, indirect, consequential or otherwise.

6. Governing Law

This legal policy shall be governed by and construed in accordance with the laws of the United Kingdom. Any dispute arising out of or in connection with this legal policy shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
